Lean In Energy Programs Terms & Conditions

 

When you use Lean In Energy, a Texas non-profit corporation, its directors, officers, employees and agents (collectively, “Organization”) products and services, you (hereinafter referred to as "you" or "Participant") are agreeing to our Terms & Conditions. By agreeing to these terms and conditions, you are entering into a legally binding agreement.

You understand that by joining this Organization, you are agreeing to participate in the Organization's volunteer  program and that these services may include, but are not limited to:  volunteering on a committee, serving in the community, and or the Mentoring Program as a mentor and/or mentee. (“Volunteer Activity”).
 
 You  freely and voluntarily, without duress, agree to the following terms:

  1. No Compensation. You agree that you will perform all Volunteer Activities without compensation and, in performing such services, acknowledge that you are not acting as an employee of Organization nor are you under the direction or control of the Organization.  You understand that Organization may terminate your status as a volunteer at any time, for any reason or no reason at all.

 

  1. Waiver and Release.  In exchange for being able to volunteer with Organization and for the limited license to use Lean In Energy’s name and logo as set forth in Section 6 herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Participant releases and forever discharges and holds harmless Organization, as well as Organization’s affiliate, The Sheryl Sandberg & Dave Goldberg Family Foundation, the Foundation’s affiliates and its and their directors, officers, employees and agents (collectively, “SGFF”) from any claim, cause of action or liability whatsoever that you or your executors, administrators, heirs, legal representatives, assigns or others may have now or in the future against Organization arising out of any Volunteer Activity or this Agreement.  You understand that Organization does not assume any responsibility or obligation to provide financial or other assistance, including, but not limited to medical, health, or disability insurance, in the event of injury, illness, death or property damage (see insurance requirements below).

 

  1. Insurance.  Organization does not carry or maintain, and expressly disclaims responsibility for providing, any health, medical or disability insurance coverage for you. EACH PARTICIPANT IS ENCOURAGED TO CARRY PERSONAL LIABILITY OR HEALTH INSURANCE BEFORE VOLUNTEERING WITH ORGANIZATION.  IF THE PARTICIPANT IS USING HIS OR HER PERSONAL AUTOMOBILE FOR TRANSPORTING SUPPLIES ON BEHALF OF ORGANIZATION, THE PARTICIPANT SHOULD MAINTAIN PERSONAL AUTOMOBILE LIABILITY INSURANCE.

 

  1. Consent from Your Employer. You warrant that you have obtained written consent from your employer to volunteer with Lean In Energy, to use your employer’s name and logo when you are identified as a volunteer of Lean In Energy.

 

  1. Limited License Granted to You. Lean In Energy hereby grants you a nonexclusive, non-assignable and non-transferable limited license to use the Lean In Energy name and logo only on your resume, CV, website, and/or social media for the limited purpose of conveying that you are currently or have volunteered for Lean In Energy. Nothing in this Agreement gives you any right whatsoever in the Lean In Energy name and logo, or in any similar marks, beyond the right granted in this Agreement. You agree that they are not granted any right whatsoever to use the name or logo or Lean In in relation to your role as a volunteer with Lean In Energy.

 

  1. Limited License Granted to the Organization. You hereby grant to Lean In Energy the restricted limited license to use your name for purposes of identification, marketing, advertising and the promotion of Lean In Energy. Additionally, you grant and convey Organization all right, title and interest in any and all photographic images, video, and audio recordings made by Organization or its agents while you are volunteering, including, but not limited to, any royalties, proceeds or other benefits derived from such photographs or recordings.

 

  1. Mutual Non-Disparagement. During volunteer activity and for a period of two (2) years after you cease volunteering with Lean In Energy, You and Lean In Energy agree to not make any statements that would injure your reputation or the reputation of Lean In Energy or Lean In Energy’s officers, directors in relation to Participant’s role as a volunteer with Lean In Energy, unless required by law.

 

  1. Additional Warranties. You warrant that there is no conflict of interest in Participant volunteering with Lean In Energy and that if a conflict of interest arises after the date these Terms & Conditions are agreed to, you will immediately notify Lean In Energy of the conflict and, until the conflict is resolved, will cease volunteering with Lean In Energy.

 

  1. Dispute Resolution.  Any dispute that may arise out of this Agreement or otherwise between you and Organization shall be governed by the laws of the State of Texas without reference to choice of law principles, and each party irrevocably consents to the jurisdiction of the courts located in Harris County, Texas. If a dispute arises in relation to these Terms & Conditions, the prevailing party will be entitled to its reasonable and necessary attorney fees and expenses.

 

  1. Confidentiality. You agree to hold all proprietary, confidential, sensitive or non-public information acquired in the course of your volunteering for Organization in strictest confidence, to use such information solely for the benefit of Organization and only to the extent necessary to perform my duties as a volunteer.  This will include, but not be limited to, confidential or secret information relating to Organization and SGFF and their officers, directors, their respective families, and their respective ideas; business methods; finances; business, financial, marketing, and development plans; platform partners; computer systems and software; know-how or other matters connected with the activities of Organization or SGFF, including any developments, improvements, processes, procedures, inventions and trade secrets; and confidential or secret information concerning its relationships with business affiliates, grantees, or registered users.

 

  1. Intellectual Property.  You agree to use any materials created by Organization or SGFF only to the extent necessary to perform duties as a volunteer and only for approved purposes.  You further agree that you will not have any intellectual property rights in any such materials created by Organization or SGFF.

  2. Attendance.  You agree that you have attended or watched onboarding training and has completed an intake form for the volunteer and/or mentoring program.


Acceptable Use Policy

This Acceptable Use Policy (“AUP”) applies to your use of Lean In Energy, Inc.'s Services (“Services”) and any content you contribute (“Content”). You agree you will not use the Services for any purpose that is unlawful or prohibited by this AUP. You may not use the Services in any manner that could damage, disable, overburden, or impair the Services, networks connected to the Services or interfere with any other party's use and enjoyment of any Services. You may not attempt to gain unauthorized access to any Services, other accounts, computer systems or networks through any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.

User Conduct. The Services allow you to submit Content. You agree to only submit Content that is proper. By way of example, and not as a limitation, you agree that when submitting Content, you will not:

  • Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.

  • Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information.

  • Submit Content in connection with surveys, contests, pyramid schemes, chain letters, junk email, spamming or any duplicative or unsolicited messages (commercial or otherwise).

  • Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as limitation, copyright or trademark laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consent to do the same.

  • Upload files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another's computer or property of another.

  • Download any file posted by another user of the Services that you know, or reasonably should know, cannot be legally reproduced, displayed, performed, and/or distributed in such manner.

  • Advertise or offer to sell or buy any goods or services for any business purpose, unless such Submission Tool specifically allows such messages.

  • Violate any applicable laws or regulations.

  • Create a false identity for the purpose of misleading others.

The Organization has no obligation to monitor your Content. However, we reserve the right to review materials posted and to remove any materials in our sole discretion.

The Organization reserves the right to terminate your access to any or all of the Services at any time, without notice, for any reason whatsoever.

The Organization reserves the right at all times to disclose any information as we deem necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in our sole discretion.

Use caution when giving out any personally identifiable information. The Organization does not control or endorse the content, messages or information submitted in the Services and, therefore, the Organization specifically disclaims any liability with regard to any submissions in the Services and any actions resulting from your submission of Content and participation in any areas where content may be submitted in the Services.

Use of Content. Your Content will be able to be viewed by other users of the Services. You should only provide your Content if you are comfortable sharing it with others.
You understand that the Organization does not guarantee the confidentiality of your Content and you shall be solely responsible for your Content and the consequences of submitting and publishing your Content on the Services. You represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish your Content.

You retain all right in your Content. By submitting your Content through the Services you hereby grant the Organization a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your Content in connection with the Services.
Feedback. Any suggestions, comments, or other input you give to the Organization (“Feedback”), even if designated as confidential, will not create any confidentiality obligation for the Organization. The Organization will be free to use, reproduce, license or otherwise distribute, and exploit Feedback to improve and enhance the Organization's products, technology, services, documentation or otherwise. The Organization's use of Feedback does not create any obligation to you. You agree not to provide the Organization with any Feedback that is subject to license terms that seek to require any of the Organization's products, technologies, services or documentation incorporating or derived from such Feedback, or any of the Organization's intellectual property, to be licensed or otherwise shared with any third party.


Chronus Terms of Service
Acceptable Use Policy
This Acceptable Use Policy (“AUP”) applies to your use of the Chronus Services (“Services”) and any content you contribute (“Content”). You agree you will not use the Services for any purpose that is unlawful or prohibited by this AUP. You may not use the Services in any manner that could damage, disable, overburden, or impair the Services, networks connected to the Services or interfere with any other party's use and enjoyment of any Services. You may not attempt to gain unauthorized access to any Services, other accounts, computer systems or networks through any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.
User Conduct. The Services allow you to submit Content. You agree to only submit Content that is proper. By way of example, and not as a limitation, you agree that when submitting Content, you will not:

Chronus will be free to use, reproduce, license or otherwise distribute, and exploit Feedback to improve and enhance Chronus products, technology, services, documentation or otherwise. Chronus’ use of Feedback does not create any obligation to you. You agree not to provide Chronus with any Feedback that is subject to license terms that seek to require any Chronus products, technologies, services or documentation incorporating or derived from such Feedback, or any of Chronus intellectual property, to be licensed or otherwise shared with any third party.
Courses Terms. These Courses Terms apply to your use of the Chronus Courses ("Courses") program. Please review these terms. We may suspend your access to the Chronus Services and/or the Courses at any time if we believe you are not complying with these terms.
Courses Requirements. You must act responsibility as described in the AUP. In addition to the AUP terms, you agree that:
  • You may participate in the Courses and/or receive a digital certificate only if you act in compliance with these Courses terms.
  • Participation in the Courses and therefore accessing any online content and courses by anyone under the age of 13 is strictly prohibited.
  • You are not eligible to participate in the Courses program if you are a resident of the regions that are prohibited by export controls and sanctions programs.
  • You must take the relevant Courses through Chronus and/or if the Course offers a certificate, you might potentially be required to receive a passing score to obtain a valid Certificate. Each Certificate's validity term may differ.
  • You will participate in the Courses program in a professional manner and will not allow any other individual to access your Chronus account or benefits. If the relevant Course requires you to pass an exam for Certificate, you will not receive any unauthorized assistance to pass the exam.
  • The Courses may be offered by Chronus, or your employer or by other third parties. Chronus does not review or endorse the content or Courses of your employer or any third parties. Any Certificate may only be used to represent that you are acknowledged by Chronus or the applicable party for participating and completing courses in the Courses program and/or for passing an exam to obtain the Certificate.
  • Chronus may discontinue the Courses program at any time in its sole discretion.
  • Chronus will use your personal information that you provided for the participation of the Courses program in accordance with the Privacy Notice.
NO WARRANTIES. CHRONUS MAKES NO WARRANTY THAT THE COURSES PROGRAM, ANY MATERIALS, INFORMATION, SOFTWARE, OR CONTENT (A) WILL MEET YOUR EXPECTATION (B) WILL BE TIMELY, SECURE, UNINTERRUPTED, FREE OF ERRORS OR VIRUSES. CHRONUS MAY PROVIDE YOU THE ABILITY TO ACCESS AND/OR USE CONTENT PROVIDED BY OTHER THIRD PARTIES OR BY SERVICES MAINTAINED BY THIRD PARTIES. WE HAVE NO OBLIGATION TO MONITOR THIRD PARTY CONTENT, BUT RESERVE THE RIGHT TO REVIEW AND/OR REMOVE ANY POSTED CONTENT. CHRONUS DISCLAIMS ANY AND ALL LIABILITY RELATED TO YOUR ACCESS OR USE OF THE COURSES PROGRAM OR ANY RELATED CONTENT. YOU ACKNOWLEDGE AND AGREE THAT ANY ACCESS TO OR USE OF THE COURSES PROGRAM OR SUCH CONTENT IS AT YOUR OWN RISK.
